This course aims to deepen the understanding of corporate governance issues, using the Portuguese Companies Code as a benchmark, while taking into account certain trends among Portuguese scholars and the reality of corporate governance in practice. To that end, students compare management and oversight in the various types of companies, analyse the various corporate governance models for public limited liability companies, by looking at real life examples, study the composition of management and oversight in these companies and in private limited liability companies and their respective activity.
